Vitent Terms of Service

These Terms of Service (the “Terms”) are an agreement between Vitent, Inc., a corporation registered in the State of Delaware, USA (“Vitent,” “we,” “us,” or “our”), and the person or entity that accesses or uses Vitent (“you” or “your”). They govern the Vitent web application and related services (collectively, the “Service”).
By creating an account, clicking to accept these Terms, or using the Service, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, do not use the Service.
1. Service provider and contact
1.1 The Service is provided by Vitent, Inc., a corporation registered in the State of Delaware, USA.
1.2 Registered address: #43354, 1111B South Governors Avenue, Dover, DE 19904, USA.
1.3 Product name: Vitent.
1.4 Websites: vitent.ai and vitent.cn.
1.5 Current product: a web-based AI video production workspace.
1.6 Contact: support@vitent.ai.
1.7 Additional Vitent products, applications, APIs, enterprise offerings, communities, or marketplaces may be governed by supplemental terms. If supplemental terms conflict with these Terms, the supplemental terms control for that service.
2. Eligibility and accounts
2.1 You must be at least 18 years old, or the age of legal majority where you live, and capable of entering into a binding agreement. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.
2.2 You must provide accurate, current, and lawful account information. You may not impersonate another person, use false information, create accounts in bad faith, or use the Service unlawfully.
2.3 You are responsible for safeguarding your login credentials and for activity conducted through your account. Contact us promptly at support@vitent.ai if you suspect unauthorized access or another security incident.
2.4 If you choose Google Sign-In, Google may provide account information that you authorize through its consent screen. Our handling of that information is described in the Vitent Privacy Policy.
2.5 Unless we agree in writing, you may not sell, rent, lend, transfer, or share an account, subscription, team seat, credits, generation capacity, or export permission with a third party.
3. The Service
3.1 Vitent is an AI workflow platform for ongoing video content production. Features may include script preparation, storyboard planning, character and scene asset management, image and video generation, shot review, consistency checks, collaboration, credit usage, and export or download tools.
3.2 The Service may rely on Vitent technology and third-party models, cloud infrastructure, content-safety services, payment providers, and other vendors. Available features, model capabilities, processing speed, concurrency, formats, and credit costs are those displayed in the Service at the relevant time.
3.3 We may modify the Service in response to product development, cost changes, vendor availability, security, legal requirements, or business needs. Where a change materially affects your rights, we will provide reasonable notice through the Service, email, or another appropriate channel.
4. Your content and license to Vitent
4.1 “User Content” includes text, prompts, scripts, images, video, audio, character or scene settings, storyboards, reference materials, project files, generated results, and other content that you submit, upload, edit, generate, store, publish, or export through the Service.
4.2 You retain the rights you lawfully hold in your User Content. You represent that you own or have all permissions necessary for the User Content and its use with the Service. You must not submit content that infringes privacy, publicity, copyright, trademark, trade secret, contractual, or other rights.
4.3 You grant Vitent a worldwide, non-exclusive, royalty-free license to host, reproduce, transmit, modify, and otherwise process User Content only as reasonably necessary to provide and improve the Service, fulfill generation requests, store projects, enable exports, secure the Service, troubleshoot issues, handle complaints, and comply with law. This license ends when the relevant content is deleted, except to the extent continued processing is legally required or technically necessary for limited backup cycles.
4.4 Private projects, uploaded materials, and generated content are not used by default to train public models. We may use such content when you expressly authorize it, when you join a co-creation or testing program under disclosed terms, when data has been lawfully de-identified so it cannot reasonably identify an individual, or when necessary for safety, quality evaluation, workflow improvement, or troubleshooting, as further explained in our Privacy Policy.
5. Generated content and commercial use
5.1 Subject to these Terms, applicable law, payment rules, and third-party model or asset licenses, you may use content you lawfully generate through Vitent for personal or commercial purposes.
5.2 You are responsible for obtaining permissions for third-party works, brands, trademarks, likenesses, voices, names, characters, entertainment or game properties, fonts, music, stock assets, or other protected elements included in your inputs or outputs. Vitent’s technology does not grant those permissions.
5.3 AI outputs may be inaccurate, incomplete, non-unique, or similar to outputs created for other users. We do not guarantee that an output is eligible for copyright or other protection, is suitable for a particular purpose, or does not resemble third-party material. You must review outputs before publishing, distributing, commercializing, or delivering them.
6. Acceptable use
You may not use the Service to create, upload, process, store, publish, export, or distribute content that:
- violates applicable law, court orders, sanctions, or the rights of others;
- promotes terrorism, violent extremism, illegal violence, child sexual exploitation, or other unlawful harm;
- is unlawfully pornographic, harassing, defamatory, hateful, fraudulent, deceptive, or invasive of privacy;
- uses a person’s likeness, voice, identity, or sensitive information without a valid legal basis or required permission;
- impersonates others, fabricates evidence, enables phishing or scams, or materially misleads people about AI-generated media;
- infringes intellectual property, confidentiality, publicity, privacy, or other legal rights;
- targets or exploits minors, or harms their health, safety, or well-being; or
- bypasses, attacks, disrupts, scrapes, probes, or interferes with security, content safety, usage limits, billing, permissions, model routing, or the operation of the Service.
You also may not use the Service, outputs, workflows, prompts, interfaces, or other results to develop, train, fine-tune, benchmark, copy, or improve a competing model, product, or service without our written permission. We may investigate suspected violations and remove content, restrict generation or exports, suspend tasks, reverse improperly obtained credits, preserve relevant records, report unlawful conduct, or suspend or terminate accounts.
7. AI-generated content disclosures
7.1 We may add visible or machine-readable labels to AI-generated or synthetic content as required by law, technical standards, or product policy. These may include watermarks, notices, metadata, digital markers, or logs.
7.2 You may not unlawfully remove, hide, alter, or falsify a label applied by Vitent. When publishing, editing, or distributing AI-generated content, you are responsible for disclosures required by applicable law and the rules of the destination platform.
8. Fees, subscriptions, and credits
8.1 Vitent may offer trials, subscriptions, credit packages, promotional credits, or other paid services. Prices, taxes, benefits, limits, billing periods, credit consumption, and payment terms are displayed at checkout or in the Service and form part of these Terms.
8.2 Purchased credits do not expire unless expressly disclosed at purchase. Promotional, trial, compensation, or other non-purchased credits may expire as stated in the applicable offer.
8.3 Digital services and virtual benefits are generally non-refundable after activation, except where applicable law gives you a cancellation or refund right, where we expressly agree otherwise, or where the Service has a material defect confirmed by us. Nothing in these Terms limits mandatory consumer rights.
9. Availability, suspension, and termination
9.1 Internet services, generative models, and third-party infrastructure may experience maintenance, outages, delays, failed tasks, content-safety review, or unavailability. We work to maintain reliable service but do not promise uninterrupted operation.
9.2 We may warn, restrict, suspend, or terminate access when we reasonably believe you violated these Terms, created accounts in bulk or bad faith, used automation abusively, exploited a vulnerability, engaged in fraudulent transactions, misused another person’s account or payment information, improperly obtained or transferred credits, evaded controls, or created a material security or legal risk.
9.3 You may stop using the Service at any time and may request account deletion as described in the Privacy Policy. Deletion may permanently remove projects, assets, generated content, credits, subscription benefits, and team permissions. Some records may be retained when required by law or reasonably necessary for fraud prevention, security, payment disputes, or enforcement.
10. Intellectual property
10.1 The Service, software, interfaces, trademarks, branding, copy, workflows, databases, model orchestration, product design, and related technology are owned by Vitent or its licensors. Except for the limited right to use the Service under these Terms, no rights are transferred to you.
10.2 You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, mirror, scrape, bulk download, or bypass technical measures protecting any part of the Service, except to the extent such a restriction is prohibited by applicable law.
11. Privacy
Our Privacy Policy explains how we collect, use, disclose, store, transfer, and protect personal information, including information received through Google Sign-In.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” VITENT DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RESULTS. VITENT DOES NOT PROVIDE LEGAL, FINANCIAL, MEDICAL, OR OTHER PROFESSIONAL ADVICE THROUGH AI OUTPUTS.
Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent permitted by law and do not affect non-waivable consumer rights.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VITENT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR OUTPUTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VITENT’S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID VITENT FOR THE RELEVANT SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
14. Changes to these Terms
We may update these Terms to reflect legal, regulatory, technical, product, or business changes. We will provide reasonable notice of material changes through the Service, email, or another appropriate method. The “Last updated” date identifies the current version. If you do not agree to revised Terms, stop using the Service before they take effect.
15. Governing law and disputes
15.1 These Terms and disputes arising from them are governed by the laws of the State of Delaware and applicable federal laws of the United States, without regard to conflict-of-laws rules. Mandatory consumer protections in your country of residence remain unaffected where they cannot lawfully be waived.
15.2 Before filing a claim, please contact support@vitent.ai so we can try to resolve the matter informally. If no resolution is reached, the state and federal courts located in Delaware will have exclusive jurisdiction, except where applicable law gives you a mandatory right to bring a claim elsewhere.
16. General
If a provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. Section headings are for convenience only. These Terms, the Privacy Policy, checkout terms, and any applicable supplemental rules form the agreement governing your use of the Service.
